Terms of Service

1. Acceptance of Terms

By accessing or using ClaimNexus ("the Service"), operated by ClaimNexus Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and ClaimNexus Inc. We may update these Terms from time to time, and your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

ClaimNexus provides tools to help Canadian workers manage their workers' compensation claims with WorkSafeBC, including:

• Document organization and storage
• Claim timeline visualization
• Loss of Earnings (LOE) benefit calculations and estimates
• AI-assisted guidance and information retrieval
• Task and deadline management

The Service is intended for informational purposes only. All calculations, estimates, and AI-generated content are provided as tools to help you understand your claim and should be verified independently with WorkSafeBC.

3. User Accounts and Responsibilities

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Not share your account with others or allow others to access your account

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Upload fraudulent, misleading, or false information
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its servers
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, redistribute, or commercially exploit the Service without authorization

5. Artificial Intelligence Features

The Service includes AI-powered features that use large language models to assist you. By using these features, you acknowledge and agree that:

• AI responses are not legal advice and should not be relied upon as such
• AI may produce inaccurate, incomplete, or outdated information
• You are responsible for verifying any AI-generated information before acting on it
• AI features use third-party services (such as Anthropic) to process your queries
• Your interactions with AI features may be used to improve the Service, in accordance with our Privacy Policy

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ClaimNexus Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you upload to the Service (such as documents related to your claim). By uploading content, you grant us a limited, non-exclusive license to store, process, and display that content solely to provide the Service to you.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Payment and Subscriptions

Some features of the Service require a paid subscription. By subscribing:

• You authorize us to charge your payment method for the applicable fees
• Subscriptions automatically renew unless cancelled before the renewal date
• Prices may change with notice; continued use constitutes acceptance
• Except where required by law, all fees are non-refundable

Payment processing is handled by Stripe. Your payment information is subject to Stripe's terms and privacy policy.

8. Disclaimers

We specifically disclaim:

• Any warranty that the Service will be uninterrupted, secure, or error-free
• Any warranty regarding the accuracy of LOE calculations or estimates
• Any warranty regarding the accuracy of AI-generated content
• Any warranty that the Service will meet your specific requirements
• Any implied warranties of merchantability or fitness for a particular purpose

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAIMNEXUS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Decisions made based on information provided by the Service
• Errors in LOE calculations or estimates
• Inaccuracies in AI-generated content
• Service interruptions or unavailability

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ClaimNexus Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. You may request export of your data before termination in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you by email or through the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClaimNexus Inc.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent.
